IMPORTANT - READ THIS CAREFULLY:
This Terrasolid Academic Software License Agreement is a legal agreement between your institution and Terrasolid
Ltd ("Terrasolid"). This agreement includes the software, all associated media, printed materials, and "online" or electronic documentation, hereinafter all these are referred to as "Software".

Read the terms and conditions carefully before downloading, copying, installing or otherwise using the Software. If you do not agree with the terms of this agreement, do not install and use the Software.

1. REGISTRATION AND LICENSES
By accepting this Agreement to Terrasolid you acknowledge and agree with the terms and conditions of this agreement. Through the registration, you are the only authorized software user. Terrasolid provides you with unique Software Licenses, which individualize you as the user of the Licenses.

2. VALIDITY OF THE AGREEMENT
The License Agreement is valid from the agreement day until the end of the given calendar year as agreed. You can terminate the Agreement by sending a written notice (e.g. email) to Terrasolid. Terrasolid does not refund you for the remaining months if you terminate the agreement during the valid period.

3. GRANTS OF AGREEMENT
Terrasolid sends you five (5) Network Licenses for each package after your selection. To get the Licenses you must register your PC as the 'Terra License Server' at www.terrasolid.com or send otherwise the name and ID of the PC to Terrasolid. The Licenses will be loaded from the license pool folder through Windows LAN network. At the sole discretion of Terrasolid the License protection can be modified any time: it may be electronic code, hardware device ('PC dongle') etc .

You shall download and install the packages, their upgrades, the user's guide and all associated material at Terrasolid's web site. Terrasolid gives to you User's Support free of charge. User's Support includes short replies by emails to your questions. You shall nominate one contact person, through whom the support issues shall be canalized to Terrasolid.

4. LIMITATIONS
The Software is allowed to use only for education and research purposes inside your University under your control. To use the software for any commercial or public works of government, municipalities or such as is forbidden. Terrasolid may require any time you to give further information about the extent and details of the projects, where you are involved.

You are not allowed to lease or otherwise give the licenses to any third party user outside your University or such as.
The Licenses are temporary, not perpetual. The licenses expire when this agreement ends. Terrasolid provides you with new licenses only if you continue the agreement.
Non-exclusiveness - In compliance with the registration procedure, Terrasolid grants to you a non-exclusive license to use the Software in object code form only, and the User's Documentation, only as authorized in this agreement.

Termination - Without prejudice to any other rights, Terrasolid may terminate this Agreement, if you fail to comply with the terms and conditions of this agreement. In such event, you must destroy all copies of the Software and the Licenses immediately.

5. COPYRIGHTS
You acknowledge and agree that the Software is a proprietary product of Terrasolid or its suppliers. Copyright laws and international copyright treaties, as well as other intellectual property laws and treaties, protect the Software. You further acknowledge and agree that the entire right,
title, and interest in and to the Software, including associated intellectual property rights, shall remain with Terrasolid. Terrasolid retains all rights not expressly granted. This is the only evidence of your rights to use the Software and its License. Retain it in a safe place.

6. LIMITED WARRANTY.
For sixty (60) days from the date of invoice (the “Warranty Period”), Terrasolid warrants that (I) the SOFTWARE will perform substantially in accordance with the functional specifications in the User Documentation. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TERRASOLID DISCLAIMS ANY AND ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. END USER REMEDIES.
If a defect in the Software appears that constitutes a breach of the above limited warranty, Terrasolid shall, at its option, refund the price, which you have paid for the License. You agree that the foregoing constitutes your sole and exclusive remedy for breach by Terrasolid of the warranties made in this Agreement. Neither these remedies nor any product support services offered by Terrasolid are available without proof that you have acquired the accompanying copy of the software from an authorized source.

8. LIMITATION OF LIABILITY.
In no event will Terrasolid be liable for indirect, special, incidental, economic or consequential damages, regardless of the nature of the claim, including without limitation lost profits, costs of delay, interruption of business, loss of use, costs of lost or damaged data or documentation or
liabilities to third parties arising from any source, even if Terrasolid has been advised of the possibility of such damages. In no event shall the liability of Terrasolid exceed the amount, which you have paid for the Software. Some states/jurisdictions do not allow the exclusion or limitation
of implied warranties or limitation of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
